Metage Capital Limited is incorporated in the United Kingdom (Registration Number 03525123) and is the Investment Manager to the multi-class investment company Metage Funds Limited (MFL).

MFL is incorporated in the Cayman Islands and all of its sub-funds are administered by Citco Fund Services (Ireland) Limited. MFL is an Unregulated Collective Investment Scheme, as defined in the Financial Services and Markets Act 2000 and the FCA Rules.

Chief Executive Officer 

Richard Webb is the Chief Executive Officer of Metage Capital, with overall responsibility for the firm's trading and investment management activities. He has over 30 years of experience in trading, investment management and research, covering equity and fixed income markets. At the time Metage was formed he was a Director in the Leveraged Funds Group at Credit Suisse First Boston (Europe) Limited, responsible for equity fund management.

Previous positions include seven years with Buchanan Partners, a London based proprietary trading and fund management organisation, where he was the Head of Trading and a member of the Board. Mr. Webb holds an M.A. in Mathematics from Oxford University and is a CFA charterholder.

Tom Sharp
Chief Investment Officer 

Tom Sharp is the Chief Investment Officer of Metage Capital and has been with the company since 2002. He co-manages the Metage portfolios of discounted closed-end funds and alternative investments. Prior to joining Metage, Mr. Sharp worked as a management consultant within NatWest Bank and was involved in the development and selection of new business ventures for easyGroup. Mr. Sharp graduated with an MA in Natural Sciences from the University of Cambridge in 1998 and is a CFA charterholder.

Analyst

Ted Childs is an Analyst at Metage Capital and joined the company in early 2018 having graduated with a First Class Honours degree in Mechanical Engineering from the University of Exeter. Ted is a CFA charterholder.

Ben Brierley
Trading Analyst

Ben Brierley is a Trading Analyst at Metage Capital and joined the company in 2023. Ben graduated with a First Class Honours degree in Economics and Mathematics from the University of Bath, where he also obtained a Distinction in his MSc in Economics and Finance. Ben has recently completed and passed his Level III CFA exams.

Tatum White
Compliance Manager

Tatum White is responsible for compliance monitoring at Metage Capital and has been with the company since 2019. Prior to joining Metage, she worked for Laxey Partners (UK) Limited for 15 years, latterly as their Company Secretary and then Compliance Officer. Tatum studied law at the University of Durham.


Maryam Valantin
Investor Relations and administration

Maryam Valantin is responsible for Investor Relations and administration at Metage Capital and has been with the company since 2005. Prior to joining Metage, she worked as a Project Manager in the Legal Department at BNP Paribas in Paris and previous to that in the Marketing Department of Western Asset Global Management in London. Mrs. Valantin studied Mechanical Engineering at Manchester Metropolitan University.

Stewardship
UK Stewardship Code Disclosure Statement

Under COBS 2.2.3R of the FCA Handbook, Metage Capital Limited is required to make a public disclosure in relation to the nature of its commitment to the UK Stewardship Code, which was first published by the Financial Reporting Council (FRC) in July 2010 and revised in January 2020. The full text of the code can be found on the FRC website.

The Code aims to enhance the quality of engagement between institutional investors and the companies in which they invest so as to encourage the exercise of good governance with a view to promoting long-term shareholder value. It is, of course, legitimate for some asset managers to decide not to disclose how they choose to engage with companies, depending on their particular investment strategies. The UK Stewardship Code is applied on a "comply or explain" basis therefore Metage Capital Limited is required to explain why it does not consider it appropriate to comply.

Metage Capital Limited makes global investments in numerous different jurisdictions based on its fundamental analysis of opportunities and perceived pricing inefficiencies. Accordingly, its approach to stewardship is determined on a case by case basis, so as to maximise shareholder value in the best interest of its own investors but having regard, at all times, to local regulatory requirements and the high standards and ethics that are required of its investment activities.

Should any of the above factors change, Metage Capital Limited will review its commitment to the Code at that time and make appropriate disclosure.

Shareholder Engagement Disclosure Statement

The Shareholders Rights Directive II (SRD II) requires Metage Capital Limited to make a public disclosure in relation to the nature of its commitment to the directive. The SRD II aims to promote shareholder engagement and to improve stewardship practices across the European Union. This directive is applied on a "comply or explain" basis and so, Metage is required to explain why it does not consider it appropriate to comply.

Metage is a highly engaged investor, who always seeks to act in the interests of the funds it manages. Our approach to shareholder engagement is determined on a case by case basis and is integrated within each investment we make. On this basis, Metage believes it is inappropriate to specify how it will engage with investee companies within an overarching engagement policy.

Should this situation change, Metage Capital Limited will review its commitment to the SRD II and make appropriate disclosure.
